Terms of Sale

These terms govern purchases completed through a BorderRelay checkout or payment link. Section 2 explains who the buyer contracts with and how responsibility is divided.

Scope. These are buyer terms for transactions processed through the operational BorderRelay service at relay.borderstride.com. They do not govern browsing this introductory website or the separate commercial agreement between BorderRelay and a supplier partner.

1. Who you are contracting with

In these terms, “we”, “us” and “our” mean Borderstride Morrow. “You” means the person or company making the purchase. A consumer is a natural person acting outside their trade, business or profession.

2. Our role: we are the seller, the supplier owns the product

Each product originates with a supplier that creates, delivers and supports it. We buy that product from the supplier and sell it to you in our own name and for our own account. In payments terminology this is the merchant of record role. Under Belgian law it is a commissionaire arrangement under Article 20 §1 of the Belgian VAT Code and Article 28 of Directive 2006/112/EC.

BorderRelay is responsible for

  • The contract of sale and the price you pay
  • Charging and remitting the correct VAT
  • Issuing your invoice under VAT BE0731511147
  • Consumer rights, payment, refunds and payment disputes

The supplier is responsible for

  • The content and quality of the product
  • Delivery and access
  • Product support and questions
  • Updates, schedules or sessions included

The supplier is named on the purchase page and invoice. Contact us about payments and invoices; contact the supplier about the product. If you are unsure, write to us and we will route the question.

3. How the contract is formed

The purchase page identifies the product, price and supplier. The contract is formed when payment completes and we confirm the order by email. No invoice is issued before successful payment.

We may refuse an order for reasons including incomplete or implausible information, failed VAT-number validation, suspected fraud, a sanctions match or unavailability in your country. If an order is refused after payment, we refund it in full.

4. Prices and VAT

  • Consumer prices include VAT.
  • Belgian consumers are charged Belgian VAT.
  • Consumers elsewhere in the EU are charged the rate of their own country, declared through the Union One Stop Shop.
  • Consumers outside the EU are not charged EU VAT.
  • For EU businesses outside Belgium, reverse charge applies when the VAT number validates through VIES before payment.

If a price is shown in another currency, the invoice records the euro equivalent using the European Central Bank reference rate for the payment date.

5. Payment

Payment is made when ordering through the methods offered at checkout. Card details are entered directly with the payment provider and do not reach our systems. The invoice is issued after payment and sent by email.

Your bank or card statement shows Borderstride Morrow, not the supplier. If you do not recognise a charge, contact us before opening a bank dispute so we can investigate it promptly.

6. Delivery and access

Digital products are delivered by the supplier, normally immediately after payment and always without undue delay. Access is sent to the email address entered at checkout. If it does not arrive within a reasonable time, contact us. We will pursue delivery with the supplier and refund you if delivery cannot be achieved.

7. Right of withdrawal

Consumers normally have fourteen days to withdraw. For digital content delivered immediately, that right can be waived only through prior express consent and acknowledgement. The complete rules and model form are set out in our Right of withdrawal and refunds, which forms part of these terms.

8. Conformity and complaints

Products must correspond to their description and possess the qualities a buyer may reasonably expect. Statutory remedies can include bringing the product into conformity, a price reduction or termination with a refund.

Send complaints to relay@borderstride.com with your invoice number and a description. We acknowledge complaints within two working days and aim to resolve them within fourteen days.

9. Liability

Nothing limits liability for death or personal injury caused by negligence, fraud or anything that cannot lawfully be limited. Consumer statutory rights remain unaffected.

Beyond that, our liability is limited to the amount paid for the product concerned. We are not liable for indirect or consequential loss. The supplier remains responsible for a product’s content, claims and advice.

10. Personal data

We are controller for the data processed to sell, invoice and support you. Details are in our Privacy Statement.

11. Complaints and dispute resolution

Please contact us first. A Belgian consumer may contact the Consumer Mediation Service. Consumers in other member states may approach the European Consumer Centre in their own country.

12. Applicable law and jurisdiction

Belgian law applies. A consumer keeps the protection of mandatory rules in their country of habitual residence and may bring proceedings there. For business buyers, the courts of Antwerp, division Turnhout, have exclusive jurisdiction.

13. Changes

We may update these terms for future purchases. The version applicable to a purchase is the version in force when the order was completed. Earlier versions remain available on request.
